Welcome to Ordermatic. These Terms of Service ("Terms") govern your access to and use of the websites, applications, and other online products and services (collectively, the "Service") provided by Order Matic Technologies Private Limited ("Ordermatic," "we," "us," or "our").
By creating an account or by using the Service in any way, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an entity, you represent and warrant that you are authorized to accept these Terms on such entity’s behalf.
You must be at least 18 years of age to use our Service. By agreeing to these Terms, you represent and warrant to us that you are at least 18 years of age and have the legal capacity to enter into a binding contract.
Order Matic Technologies Private Limited provides Point of Sale (POS) solutions and an Online Ordering Website (collectively, the "Service"). Our Service acts as a technology platform to enable and facilitate online ordering and payment processing directly between the customer ("you") and the Food Business Operator ("FBO").
You acknowledge and agree that Ordermatic's role is strictly limited to providing the technology that connects customers with FBOs. Ordermatic is not involved in, and assumes no responsibility for, the actual fulfillment of any order. This includes, but is not limited to, the preparation, quality, safety, or delivery of food. The contract for the sale and fulfillment of goods is exclusively between the customer and the FBO.
Unlike food delivery aggregators who may participate in customer dispute resolution, Ordermatic does not have the authority to process or issue refunds on behalf of the FBO. All issues, complaints, and claims regarding the FBO's products or services must be directed solely to the FBO.
a. Payment Facilitation: Ordermatic provides integrated payment solutions to facilitate seamless ordering and transactions between customers and FBOs. As part of our Service, we onboard interested FBOs as sub-merchants and process payments on their behalf through our designated third-party payment processors.
b. Role of Ordermatic: You acknowledge and agree that Ordermatic acts solely as a payment facilitator and technology intermediary. We are not a party to the transaction for the sale of goods between the customer and the FBO.
c. Refund Policy: The sole discretion and responsibility for approving and issuing any refunds for orders placed through the Service lies with the respective FBO. All requests for refunds, cancellations, or disputes regarding payment must be directed to the FBO from whom the order was placed. Ordermatic does not hold funds on behalf of customers and does not have the authority to initiate refunds. We shall not be held responsible or liable for any failure by an FBO to provide a refund.
d. Processing Errors: Ordermatic will take reasonable steps to rectify any payment processing errors that we become aware of. However, we are not liable for any losses or damages arising from unauthorized use of your credit or debit card, or other payment information, in connection with the Service, except to the extent that such losses are the direct result of our gross negligence.
a. Account Creation: To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
b. Data Sharing for Order Fulfillment: You acknowledge and agree that to facilitate your order, Ordermatic will share necessary personal information (such as your name, contact number, and order details) with the FBO from whom you are ordering. The FBO's handling of your data is governed by their own privacy practices, and Ordermatic is not responsible for it. For more information, please review our Privacy Policy.
c. Prohibited Conduct: You agree not to use the Service for any unlawful purpose or in any way that interrupts, damages, or impairs the service.
All rights, title, and interest in and to the Service, including all associated intellectual property rights, are and will remain the exclusive property of Order Matic Technologies Private Limited and its licensors.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORDERMATIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Furthermore, Ordermatic expressly disclaims any and all liability related to the products and services provided by FBOs, including but not limited to, the quality, safety, or legality of the food and the accuracy of menu information, pricing, or allergens. Any claims related to the FBO's products or services must be brought directly against the FBO.
You agree to defend, indemnify, and hold harmless Order Matic Technologies Private Limited and its employees, directors, and agents from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of and access to the Service, or your violation of any term of these Terms.
These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India.
You agree that the courts of Hyderabad, Telangana, India shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms of Service.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. All changes will be effective immediately upon posting to the website, and will be indicated by a change to the "Last Updated" date at the top of this document. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
